ABSTRACT:A key factor in the decision to convert a publicly owned company to private status is the expectation that value will be created, providing the firm with rent. These rents have implications regarding the property rights of the firm’s capital-contributing constituencies. We identify and analyze the types of rent associated with the newly private firm. Compared to public firms, going private allows owners the potential to partition part of the residual risk to bond holders and employees, rendering them to be (...) co-residual risk bearers with owners. We propose that new promotion-based contracts with bond holders and employees, reflecting their particular investments, be negotiated as the firm migrates from public to private status. These contracts should acknowledge the firm’s intent to maximize shareholder value and its need to take the risks necessary to do so, but support that the firm’s survival not be undermined due to its possibly opportunistic owners. The migration of publicly-held companies to private status through use of private equity has been both lauded and lambasted. While agency theorists praise the public-to-private or PTP firm as being an efficient form of corporate governance, others suggest that going private allows owners and managers to extract, rather than add, value.We contribute by developing a categorization of the potential sources of value for the PTP firm. We analyze the effects of each source of value, and find that there are specific (...) negative effects for non-equity stakeholders associated with several sources. Our analysis indicates that the degree to which value is added versus extracted will vary across firms; yet, all will tend to engage in some value extraction. Policy implications are discussed. The newly private corporation challenges scholars to re-examine corporate social responsibility under a markedly different governance system. We theorize regarding the implications of public corporations going private through use of private equity. The new governance system includes few owners and an expert, involved board of directors; combined with a greatly reduced public presence, public-to-private firms are proposed to place greater emphasis on financial performance and lesser emphasis on social performance. The Sarbanes-Oxley Act of 2002 is considered by many to have made the most sweeping changes affecting corporate governance since the Securities and Exchange Acts of 1933 and 1934. About 4 years after its passing, however, many governance experts question whether the time and expense of compliance engender any real reforms. This article examines whether corporations have restructured their boards in response to the enactment of Sarbanes-Oxley and finds evidence that companies are implementing changes that should strengthen the monitoring ability (...) of their boards. Shareholder activism challenges management control over the corporate status quo. Drawing on reactance theory and recent empirical work on corporate political activity and on firms’ response to shareholder activism, and testing using data complied by the Interfaith Center for Corporate Responsibility, the Federal Election Commission and others for S&P 500 firms from 1999-2006, we find evidence that CPA buffers firms from corporate social responsibility-related or socially-oriented shareholder proposals. Greater CPA, particularly greater relational CPA, influences responses of the U.S. Securities and (...) Exchange Commission as well as responses of the targeted firm, to help neutralize socially-oriented shareholder activism. (shrink)

Drawing on the empirical premise that attention makes objects look more intense, Ned Block has argued for mental paint, a phenomenal residue that cannot be reduced to what is perceived or represented. If sound, Block's argument would undermine direct realism and representationism, two widely held views about the nature of conscious perception. We argue that Block's argument fails because the empirical premise it is based upon is false. Attending to an object alters its salience, but not its perceived intensity. We (...) also argue that salience should be equated with mental primer, a close cousin of mental paint that reintroduces difficulties for direct realism and representationism. The upshot is that direct realism and representationism are still in trouble, but not for the reason that Block thinks. (shrink)

ABSTRACTPrevious work has shown that a stooped posture may activate negative mood. Extending this work, the present experiments examine how stooped body posture influences recovery from pre-existing negative mood. In Experiment 1, participants were randomly assigned to receive either a negative or neutral mood induction, after which participants were instructed to take either a stooped, straight, or control posture while writing down their thoughts. Stooped posture led to less mood recovery in the negative mood condition, and more negative mood in (...) the neutral mood condition. Furthermore, stooped posture led to more negative thoughts overall compared to straight or control postures. In Experiment 2, all participants underwent a negative mood induction, after which half received cognitive reappraisal instructions and half received no instructions. Mood-congruent cognitions were assessed through autobiographical memory recall. Again, stooped position led to less mood recovery. Notably, this was independent of regulation instruction. These findings demonstrate for the first time that posture plays an important role in recovering from negative mood. (shrink)

Given the current context of the experience of migration on schools in England and Europe, and the competing policies and approaches to social integration in schools, there is a need to understand the connection between language development and social integration as a basis for promoting appropriate policies and practices. This volume explores the complex relationship between language, education and the social integration of newcomer migrant children in England, through an in-depth analysis of case studies from schools in the East of (...) England. The authors set this evidence against the background of policy debates in the wider international setting, including a critical discussion of assumptions underlying national narratives of mainstreaming and assimilation. In the light of an absence of national guidelines for appropriate practice in schools, the authors outline a model of inclusive pedagogy for English as an additional language and a framework of home-school communication to promote effective EAL parental engagement in schools. My paper explores the power that forgiveness and the promise, as potentialities of action, have to counter the two difficulties that follow from the possibility of being able to begin something new or what Arendt calls the ‘frailty of human affairs’: irreversibility and unpredictability. Acts of forgiving and promising are expressions of freedom and natality, as they begin human relations anew: forgiveness creates a fresh beginning after wrong-doing, and the promise initiates new political agreements. Arendt argues that forgiveness and the (...) promise depend on plurality. They also create more favorable conditions for people to live together in the public world. Historically, forgiveness has been important in political thought in the form of pardon. In contrast, promises have been conceptualised in political thought primarily in contract theories. (shrink)

This paper resolves some puzzles regarding Spinoza’s appropriations and rejections of various aspects of Bacon’s methodology, and uses these solutions to resolve some long-standing puzzles concerning Spinoza’s modus operandi in the TTP. We argue first that, appearances to contrary, Spinoza takes a consistent line in his assessment of Bacon’s epistemic approach. We argue that Spinoza follows Bacon in grounding his overall epistemic method in a “historiola mentis” (a brief account or history of the mind), and that differences between Spinoza’s and (...) Bacon’s respective historiola mentis can explain Spinoza’s embrace of this inductive method for his interpretation of Scripture in the TTP, as well as his general abandonment of Bacon’s inductive method in the metaphysical investigation of the Ethics. In short, we argue that the “historiola mentis” constructed by Bacon depicts the intellect as an error-prone faculty that needs be continuously restrained by observation and experimentation—a depiction which motivates Bacon’s reformed inductive empiricism. Spinoza accepts this depiction in regard to a subset of the mind’s ideas—the ideas of the imagination, and hence sees the inductive method as suitable for interpreting Scripture. But contra Bacon, Spinoza’s “historiola mentis” also shows that the human mind includes a subset of ideas that yield true, certain knowledge of things “infinite” and sub specie aeternitatis. Spinoza finds these “intellectual” ideas to be quite useful for systematic metaphysics, but of limited use for interpreting historical texts like Scripture. (shrink)

This chapter focuses on one historically important approach to computationalism about thought. According to "the classical computational theory of mind" (CTM), thinking involves the algorithmic manipulation of mental symbols. The chapter reviews CTM and the related language of thought (LOT) position, urging that the orthodox position, associated with the groundbreaking work of Jerry Fodor, has failed to specify a key component: the notion of a mental symbol. It clarifies the notion of a LOT symbol and explores an approach different from (...) the orthodox, Fodorian LOT/CTM. The LOT position is a leading approach to the computational nature of thought. A key feature of LOT is that its mental representations have a combinatorial syntax. A representational system has a combinatorial syntax when it employs a finite store of atomic representations, which can be combined to form compound representations, which can then be combined to form further compound representations. A theoretically rigorous approach to the key problems of Molinism leads to a clear distinction between semantic and metaphysical problems. Answers to semantic problems do not provide answers to metaphysical problems that arise from the theory of middle knowledge. The so-called ‘grounding objection’ to Molinism raises a metaphysical problem. The most promising solution to it is a revised form of the traditional ‘essence solution’. Inspired by Leibniz’s idea of a ‘notio completa’ (complete concept), we propose a mathematical model of ‘possibilistic’ (...) (Molinist) complete concepts. They ground middle knowledge within the very being of the agents themselves. Molinist Complete Concepts can thus serve to reject consequence-style arguments against Molinism. They also allow the Molinist to safeguard a robustly libertarian notion of the ability to do otherwise. (shrink)

In this article, we discuss the continued circulation and use of retracted science as a complex problem: Multiple stakeholders throughout the publishing ecosystem hold competing perceptions of this problem and its possible solutions. We describe how we used a participatory design process model to co-develop recommendations for addressing this problem with stakeholders in the Alfred P. Sloan-funded project, Reducing the Inadvertent Spread of Retracted Science (RISRS). After introducing the four core RISRS recommendations, we discuss how the issue of retraction-related stigma (...) gives rise to recommendation #4, Educate stakeholders about retraction and pre- and post-publication stewardship of the scholarly record. This recommendation is important for training publishing professionals and realizing this recommendation will require further collaborative design work across scholarly communications. We highlight ongoing stakeholder work which is now re-starting the design cycle. We conclude with a discussion of ongoing activities facilitating uptake and refinement of RISRS research and the implementation agenda. (shrink)

The current study describes the implementation of an online Future Problem Solving program in the field of Health education and set out to explore its contribution to students' eHealth Literacy identity, by using two levels of teacher guidance: minimal vs. frequent. FPS was employed in two groups of Health students. In the research group, frequent weekly guidance was provided to the students centered on the enhancement of eHealth Literacy skills, whereas in the control group minimal guidance was offered by the (...) lecturer. Data for the analysis were gathered from 113 Israeli undergraduate students of a Management of Health Service Organizations program, of whom 62 comprised the research group. Data were gathered twice, pre- and post-program implementation from both groups. Findings showed significant differences between the tests only for the research group, with increased levels of eHealth Literacy skills detected between the tests. The perception of the FPS program as meaningful contributed to students' perceived eHealth Literacy skills only in the research group whereas non-significant results were shown for the control group. This study mainly shows that the enhancement of skills in online educational environments requires frequent and personalized guidance. Faculty must recognize the role of the instructor as a facilitator of learning and design successful scaffolding strategies to nurture students' lifelong learning skills during distance learning. ObjectiveFreezing of gait is detrimental to patients with idiopathic Parkinson’s disease. Its pathophysiology represents a multilevel failure of motor processing in the cortical, subcortical, and brainstem circuits, ultimately resulting in ineffective motor output of the spinal pattern generator. Electrophysiological studies pointed to abnormalities of oscillatory activity in freezers that covered a broad frequency range including the theta, alpha, and beta bands. We explored muscular frequency domain activity with respect to freezing, and used deep brain stimulation to modulate these rhythms thereby (...) evaluating the supraspinal contributions to spinal motor neuron activity.MethodsWe analyzed 9 PD freezers and 16 healthy controls. We studied the patients after overnight withdrawal of dopaminergic medication with stimulation off, stimulation of the subthalamic nucleus or the substantia nigra pars reticulate, respectively. Patients performed a walking paradigm passing a narrow obstacle. We analyzed the frequency-domain spectra of the tibialis anterior and gastrocnemius muscles in ‘regular gait’ and during the ‘freezing’ episodes.ResultsIn stimulation off, PD freezers showed increased muscle activity of the alpha and low-beta band compared to HC in both TA and GA. This activity increase was present during straight walking and during the freezes to similar extent. STN- but not SNr-DBS decreased this activity and paralleled the clinical improvement of freezing.ConclusionWe found increased muscle activation of the alpha and lower beta band in PD freezers compared to HC, and this was attenuated with STN-DBS. Future studies may use combined recordings of local field potentials, electroencephalography, and electromyography to interrogate the supraspinal circuit mechanisms of the pathological activation pattern of the spinal pattern generator. The double empathy problem theory posits that autistic social difficulties emerge from an interpersonal misalignment in social experiences and expectations between autistic and non-autistic people. Supporting this, emerging research reveals better social outcomes in interactions within than across neurotypes among autistic and non-autistic people, emphasizing the need to examine the role of the interpersonal context in autistic social outcomes. However, research on peer relationships among autistic youth primarily focuses on individual characteristics in isolation from the interpersonal context. To address this, (...) this preliminary study explored the effects of student-peer neurotype match on peer relationships among autistic and non-autistic youth in an integrated educational setting. We plotted the peer relationship networks among youth in a school club based on systematic observations of peer interactions over eight 45-min sessions. Descriptive network statistics showed that both autistic and non-autistic youth had more and stronger peer relationships with their same- than cross-neurotype peers. Assortativity coefficients revealed a tendency for youth to connect with peers of the same neurotype, rather than with peers with similar social popularity or activity. We further modeled the effects of student-peer neurotype match on peer relationships using exponential random graph models. The findings suggested that student-peer neurotype match predicted the total strength of peer relationships above and beyond the effects of student neurotype, individual heterogeneity in social popularity and activity, and the tendency of mutuality in social relationships. We discussed the strengths and limitations of this study and the implications for future research and inclusion practice. (shrink)

Ces travaux montrent une attitude différenciée des grands-parents selon l’acceptation ou non de l’homosexualité de leur enfant devenu parent et un engagement spécifique selon la lignée et/ou le statut légal de parent. La recherche sur laquelle s’appuie cet article porte sur une vingtaine de couples lesboparentaux français (questionnaires et entretiens) avec des enfants nés en 2011 ou 2012, mariés ou non depuis, qui se différencient selon le type de maternité mis (...) en œuvre et le statut du donneur. Les résultats mettent en évidence que plus le couple lesbien se rapproche du modèle bioconjugal, ou plus exactement du modèle conjugo-parental, plus les relations entre petits-enfants et grands-parents sont facilitées des deux côtés des branches maternelles et ceci selon les enjeux intergénérationnels et relationnels de la transmission. Les données présentées sont extraites d’une étude exploratoire française portant sur le développement socio-affectif de vingt enfants élevés au sein de douze familles homoparentales. Elles portent sur la qualité des relations entre les enfants et leur parent biologique, d’une part, et leur parent non biologique, d’autre part, l’évaluation étant réalisée à la fois par les parents et par les enfants. Si la qualité des relations apparaît globalement satisfaisante, la qualité des relations enfant-parent non biologique apparaît davantage marquée par les caractéristiques (...) de l’environnement social que ne l’est la qualité des relations enfant-parent biologique.
